These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Orvyn Labs ("Orvyn," "we," "us," or "our"). By accessing or using the Orvyn platform, website, or any associated services (collectively, the "Services"), you agree to be bound by these Terms.
If you do not agree to these Terms, you may not use our Services.
1. Acceptance of Terms
By creating an account, accessing our website, or using any part of our Services, you confirm that you have read, understood, and agree to these Terms and our Privacy Policy. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
2. Description of Services
Orvyn provides an AI-native knowledge infrastructure platform that enables organizations to transform unstructured documents into structured, queryable intelligence. Our Services include, but are not limited to:
- AI-powered DataRooms for secure document management
- Knowledge graph generation and entity extraction
- Natural language querying over organizational knowledge
- Enterprise integrations and API access
We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time, with or without notice.
3. Account Registration
To access certain features of our Services, you must create an account. You agree to:
- Provide accurate, current, and complete information during registration
- Maintain and update your information to keep it accurate
- Keep your login credentials confidential and secure
- Notify us immediately of any unauthorized use of your account
- Accept responsibility for all activities that occur under your account
We reserve the right to suspend or terminate accounts that violate these Terms.
4. Acceptable Use
You agree to use the Services only for lawful purposes and in accordance with these Terms. You agree not to:
- Use the Services to violate any applicable law or regulation
- Upload, transmit, or store any content that is unlawful, harmful, threatening, abusive, defamatory, or otherwise objectionable
- Attempt to gain unauthorized access to any part of the Services, other accounts, or connected systems
- Interfere with or disrupt the integrity or performance of the Services
- Reverse engineer, decompile, or disassemble any part of the Services
- Use the Services to transmit malware, viruses, or other harmful code
- Resell, sublicense, or commercially exploit the Services without our written consent
- Use automated means (bots, scrapers) to access the Services without authorization
5. Your Content and Data
Ownership
You retain all ownership rights to the content and data you upload to the Services ("Your Content"). Orvyn does not claim ownership of Your Content.
License to Orvyn
By uploading Your Content, you grant Orvyn a limited, non-exclusive, royalty-free license to process, store, and display Your Content solely for the purpose of providing and improving the Services. This license terminates when you delete Your Content or close your account.
Data Processing
We process Your Content using AI and machine learning technologies to provide the Services (e.g., entity extraction, knowledge graph generation, natural language search). Your Content is processed on secure infrastructure and is never used to train general-purpose AI models or shared with other customers.
Responsibility
You are solely responsible for Your Content. You represent and warrant that you have all necessary rights to upload and process Your Content through the Services.
6. Intellectual Property
Orvyn's IP
The Services, including all software, algorithms, designs, trademarks, logos, and documentation, are owned by Orvyn Labs and are protected by intellectual property laws. Nothing in these Terms grants you any right to use Orvyn's trademarks, logos, or brand assets without our prior written consent.
Feedback
If you provide suggestions, ideas, or feedback about the Services ("Feedback"), you grant Orvyn the right to use such Feedback without restriction or compensation. Feedback does not create any obligation of confidentiality.
7. Fees and Payment
Pricing
Certain features of the Services may require payment. Pricing details are available on our website or through direct agreement. All fees are stated in US dollars unless otherwise specified.
Billing
If you subscribe to a paid plan, you agree to pay all applicable fees. Subscriptions automatically renew unless cancelled before the renewal date. We reserve the right to change pricing with reasonable advance notice.
Refunds
Unless otherwise stated in a separate agreement, all fees are non-refundable.
8. Limitation of Liability
To the maximum extent permitted by applicable law:
- Orvyn shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, business opportunities, or goodwill.
- Orvyn's total aggregate liability for any claims arising under these Terms shall not exceed the amount you paid to Orvyn in the twelve (12) months preceding the claim.
- Orvyn is not liable for any loss or damage resulting from unauthorized access to your account, data breaches caused by your negligence, or third-party services integrated with the platform.
9. Disclaimer of Warranties
The Services are provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not warrant that the Services will be uninterrupted, error-free, or completely secure. AI-generated outputs (entity extraction, knowledge graphs, query responses) are provided for informational purposes and should not be relied upon as the sole basis for critical business decisions without human verification.
10. Termination
By You
You may terminate your account at any time by contacting us or using the account settings in the platform. Upon termination, your right to use the Services ceases immediately.
By Orvyn
We may suspend or terminate your access to the Services at any time, with or without cause, with or without notice. Reasons for termination may include violation of these Terms, extended inactivity, or discontinuation of the Services.
Effect of Termination
Upon termination, your license to use the Services ends. We will make Your Content available for export for a reasonable period (30 days) after termination, after which it may be permanently deleted. Provisions that by nature should survive termination (including IP, limitation of liability, and indemnification) shall survive.
11. Indemnification
You agree to indemnify, defend, and hold harmless Orvyn Labs, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Services, violation of these Terms, or infringement of any third-party rights.
12. Governing Law and Dispute Resolution
These Terms are governed by the laws of India. Any disputes arising under these Terms shall be resolved through binding arbitration in Mumbai, India, in accordance with applicable arbitration rules. You agree to waive any right to a jury trial or class action.
13. Changes to These Terms
We may update these Terms from time to time. Material changes will be communicated through our website or by email. Your continued use of the Services after changes take effect constitutes acceptance of the updated Terms.
If you do not agree to the updated Terms, you must stop using the Services and close your account.
14. General Provisions
- Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and Orvyn regarding the Services.
- Severability: If any provision of these Terms is held invalid or unenforceable, the remaining provisions continue in full force and effect.
- Waiver: Our failure to enforce any right or provision does not constitute a waiver of that right or provision.
- Assignment: You may not assign your rights under these Terms without our consent. Orvyn may assign its rights without restriction.
